Albert Farr is a tax attorney recognized for his precision and deep expertise in complex business tax matters. He provides clients with practical, efficient tax solutions across a full range of transactional tax issues, delivering comprehensive buy and sell-side tax counsel throughout the business life cycle.

Albert advises multinational corporations and private equity firms on the tax aspects of domestic and cross border transactions, including mergers, acquisitions, reorganizations, joint ventures, divestitures, and other strategic dispositions. He helps clients implement tax-efficient organizational structures for both inbound and outbound negotiated and multi-bid auction transactions, providing strategic U.S. and international tax guidance aligned with their business objectives.

Albert has extensive tax experience advising closely held S corporation owners and private equity sponsors on the acquisition and disposition of S corporation targets, including numerous Section 368(a)(1)(F) reorganizations designed to optimize tax efficiency.  He also regularly counsels founders and investors on Section 1202 qualified small business stock planning and exit strategies to maximize available gain exclusions.

In addition, Albert advises private investment fund and asset management clients on the tax considerations and structuring of fund formations.  He frequently represents leading digital asset hedge funds in connection with the tax aspects of fund formations and offerings involving cryptocurrencies and other digital assets.  His practice also includes advising on U.S. and cross border private credit transactions with a focus on FIRPTA, effectively connected income, deemed dividends, and the application of tax treaty provisions.

Prior to joining Barnes & Thornburg, Albert was an associate in the New York office of an Am Law 50 firm. During law school, he externed with the Internal Revenue Service’s Office of Chief Counsel and was a summer associate with the U.S. Commodity Futures Trading Commission.
