Jennifer represents clients across a range of industries, with significant experience advising financial institutions, healthcare companies, technology companies, and other businesses operating in complex regulatory environments. She guides clients through all stages of domestic and cross-border mergers and acquisitions, private equity investments and divestitures, joint ventures, and other commercial transactions. Jennifer structures, drafts, negotiates, and manages transactions from initial diligence through closing, including supervising associates and coordinating across business, legal, financial, and regulatory teams.
Jennifer counsels clients on corporate and securities matters, including the preparation, review, and filing of SEC reports and registration statements, Forms 10-K, 10-Q, and 8-K, proxy statements, and related disclosures. She assists companies with enterprise-level risk management, including regularly advising on corporate governance, board and committee matters, disclosure obligations (including disclosures related to environmental, social and governance (ESG), and day-to-day, business-critical legal issues.
In addition, Jennifer frequently works with financial institutions, ranging from community banks to global financial institutions. She has advised on banking organization and structure (including matters related to bank charters, operating subsidiaries, and bank holding companies) and transaction-related matters, assisted with numerous internal and government investigations (including with the SEC, DOJ, and OCC), and worked with financial institutions in preparing for and responding to regulatory examination issues.
